Welcome to Axiom HR Solutions. These Terms of Service ("Terms") govern your access to and use of the Axiom HR Solutions platform, website, and all related payroll, HR, timekeeping, and workforce management services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

1. Eligibility and Authority

You must be at least 18 years of age or older to access or use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration and Security

To access certain features of our Platform, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Keep your login credentials secure and confidential
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

By creating an account, you consent to receive electronic communications from us, including service announcements, administrative messages, and (where you have opted in) marketing communications.

3. Privacy

Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, and share your personal information. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

4. Services and Licensing

Axiom HR Solutions provides human capital management services including payroll processing, HR management, time and labor tracking, benefits administration, talent management, HR analytics, and related workforce management tools powered by UKG Ready technology. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Platform in accordance with these Terms.

Your Content: You retain ownership of all content, data, and materials you upload or input into the Platform ("Your Content"), including employee records, payroll data, and company information. By using our Services, you grant Axiom HR Solutions a nonexclusive, royalty-free, worldwide, fully-paid license to use, process, store, and display Your Content solely as necessary to provide and improve our Services.

Employee and Payroll Data: Any employee data, payroll information, or contact data you provide or manage through our Platform will only be shared with third-party service providers as necessary to deliver the Services (such as tax filing agencies, benefits carriers, and banking institutions), in connection with a sale or merger of the business, or as required by law.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Using our Services for any illegal or unauthorized purpose
Submitting false or misleading employee, payroll, or tax information
Accessing another user's account without authorization
Interfering with or disrupting the integrity or performance of our Services
Attempting to reverse engineer, decompile, or disassemble any part of our Platform
Using our Services in violation of applicable employment, tax, or labor laws
Circumventing any security measures or access controls
Reselling, sublicensing, or redistributing our Services without written authorization

6. Terms of Sale and Subscriptions

Certain features of our Services are available through paid subscription plans. By purchasing a subscription, you agree to the following:

Subscriptions are billed on a recurring basis (monthly or annually, as selected)
Subscriptions auto-renew at the end of each billing period until cancelled
You authorize us to charge your payment method on file for recurring fees
All cancellation requests will take effect at the end of the then-current subscription period
Prices are subject to change with 30 days' prior notice
Refunds are handled on a case-by-case basis at our discretion
Non-payment may result in suspension or termination of your account

7. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks associated with the Axiom HR Solutions Platform are the exclusive property of Axiom HR Solutions and are protected by copyright, trademark, and other intellectual property laws. Your use of our Services does not grant you any ownership rights to our intellectual property.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software.

8. Third-Party Content and Services

Our Platform may integrate with or contain links to third-party websites, services, or content, including UKG Ready, benefits carriers, and banking institutions. We do not endorse, control, or assume responsibility for any third-party content or services. Your interactions with third-party providers are solely between you and the third party, and are subject to their own terms and policies.

9. Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding our Services ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation or compensation to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Axiom HR Solutions, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: your use of our Services, your violation of these Terms, your violation of any third-party rights, or any content you submit through our Platform.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIOM HR SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

Our total aggregate liability for all claims arising from or related to these Terms or our Services shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Data Processing and Compliance

By using our Services, you consent to the processing and storage of your data in the United States. You are responsible for ensuring that your use of our Platform complies with all applicable data protection, employment, and labor laws in your jurisdiction, including obtaining necessary consents from your employees and contacts.

You agree to comply with all applicable export control laws and regulations and shall not use our Services in violation of any anti-corruption or anti-bribery laws.

14. Dispute Resolution

All disputes, controversies, or claims arising out of or relating to these Terms or our Services will be resolved through confidential binding arbitration held in Marion County, Indiana, in accordance with the rules of the American Arbitration Association. Any claim must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict of law principles. For any matters not subject to arbitration, the courts located in Marion County, Indiana shall have exclusive jurisdiction.

16. Termination

Either party may terminate this agreement at any time. You may cancel your account through your account settings or by contacting us. We reserve the right to suspend or terminate your access to our Services without prior notice if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to our business, users, or third parties.

Upon termination, your right to use our Services ceases immediately. We will provide a reasonable period (not less than 30 days) for you to export your data following termination.

17. Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site, updating the "Last Updated" date, or sending you notice through the Platform or email. Your continued use of our Services after such changes take effect constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Axiom HR Solutions regarding your use of our Services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
